Parties & Assignments: This agreement is between Sharon I. Wasserman, hereafter referred to as “the Artist,” and the commissioning party and its agents, hereafter referred to as “the Client.”

Expiration of Estimate: This estimate is valid for 30 days only. After 30 days from the date of this estimate, the price is subject to change.

Acceptance: Signature or initials on this estimate by the Client constitute acceptance of these terms. In cases of emailed estimates, email notification of acceptance by client also constitutes acceptance of these terms.

Estimate: This estimated price above is an estimated cost, based on the initial specifications of this project discussed with the Client and listed above, and on an hourly rate of $90.00 or a flat fee plus usage as suggested by the Graphic Artist Guild’s Handbook of Pricing and Ethical Guidelines and current market pricing. Ongoing projects may be billed at the completion of each stage of the project or at regular intervals. Any additional costs incurred in the completion of this project and not in the original estimate will be added to this estimated cost as per the “Changes” section of these Terms & Conditions.

Changes: Any verbal or written changes made by the Client to this project following it initiation (date of contract acceptance), are subject to additional charges. Should such changes negate any part of the project already completed at the time of the changes, the Client accepts responsibility for payment of the completed work and all services related to it as well as the charges for the changes.

Cancellation: Upon written cancellation of the project after work has begun, the Client is responsible for payment for all expenses incurred and any work done for the completion of the project, based on the hourly rate of $90.00. Should the Client cancel the project after more than half of the work is completed or following its completion, the Client is responsible for full payment as per the above estimated price plus all other charges and additional expenses incurred in the project’s completion.

Releases: Client shall indemnify the Artist against all claims and expenses, including attorney’s fees, due to uses for which no release as requested in writing or for uses, which exceed authority granted by a release relating to any part of this project.

Copyright: The Client accepts full responsibility for securing trademark, copyright, or any releases for all logos, photography, artwork, and other materials, which are subject to such legal protection and provided by the Client to the Artist to be used in the completion of this project. Should the Client be found to have infringed on any means of legal protection, the Client agrees to pay all damages, including court and attorney fees.

Grant of Rights: Unless otherwise specified above, work done by the Artist is not considered "work for hire." Artist retains ownership of all original preliminary and final illustrations, photography, and designs, including digital files, used in the creation of this project. Unless otherwise stated above, rights are granted for use of all materials created or purchased by the Artist (i.e., computer files, photography, illustrations, etc.) for this project only and only upon full payment. In the event of cancellation of this project, ownership of all rights granted and the original artwork created by the Artist for this project shall be retained by the Artist.

Payment & Collection: Final payment for this project is due upon its completion. Unless otherwise state above, invoices not paid within 30 pays of the date of the invoice will accrue interest at 10% per month. Client agrees to pay for each check returned for insufficient funds or any other reason at $25 per occurrence or 5% of the value of each returned item, whichever is greater. Client agrees to pay all reasonable collection and/or attorney's fees and all court costs if any account is placed with an attorney for collection. Client agrees that the purchase of the services described herein constitutes "doing business" in the State of Massachusetts with respect to any suit brought by Artist to collect any sums hereunder. The parties agree that the only venue for any suit brought by either of them, with respect to the services sold hereunder, shall be in the State Court of Suffolk County, Boston, Massachusetts.
